The Board convened Monday, August 12, 2002 at 11:20 a.m. after the meetings of the various Board Committees. All Directors were present as were the Chief Operating Officer and Executive Secretary.
The Board reviewed the July 2002 minutes. Upon motion made by Mrs. Strand, and seconded by Mr. Merriam, the minutes of the July 2002 meeting, copies of which were made available to all Directors, were adopted (unanimously).
The Chairman, Mr. Menaker, reviewed correspondence directed to him as Chairman.
Mr. Menaker gave an update on the DOGNY initiative.
Mr. Menaker reported on the corporate training and development program. The first phase was the summer intern program. Plans are to continue this initiative, which has been very successful and well received. The second phase is a formal development program that will be developed in modules. Certain employees will also be identified as "corporate property," and will receive training in departments across the organization, later to be made part of an internal consulting group. These employees could later fill key slots in the kennel club.
There was a discussion on the oversight function of individual Board members.
The President, Mr. Cheauré, gave a personnel update.
Mr. Cheauré reported on the Herdsman On-Line.
Mr. Cheauré reported on the transfer of actuarial and administrative services for the Pension Plan to N.Y. Life.
Mr. Cheauré reported on the breed-specific restrictions imposed by American Airlines. AKC had posted a notice on the website and notified all Delegates on its email list. There was a motion by Mr. Merriam, seconded by Mr. Gladstone, and it was VOTED (unanimously) to direct the President to contact American Airlines to express the Board's disappointment and displeasure at its breed-specific ban on shipping dogs.
Mr. Cheauré reported that the Events area was now set up to handle applications and approvals for all Performance Events online. Within the next month, this will be extended to conformation events.
There was an Executive Session to discuss personnel matters, with nothing reported out of this session.
Mr. Stevens gave a financial update. The Financial Report for July 2002 showed an excess of revenue over expenses of $239,000.
The individual registration figures for July 2002 are 80,342 versus 99,123 for July 2001.
The litter registration figures for July 2002 are 41,374 versus 46,269 for July 2001.
The Board elected the following Nominating Committee to select candidates for the vacancies on the Board of Directors' Class of 2007, which are to be filled at the March 2003 Delegates Meeting: Don Adams, Chair, Arlene Czech, Linda Flynn, Nancy Perrell, Cindy Vogels. Alternates: Clare Lincoln and Virginia Van Doren.
The Board considered the holding of Delegate meetings on Monday, rather than Tuesday, based upon input received at the June 2002 Delegates meeting. The basic advantages are lower air fares in many cases with a Saturday night stay, one less day off work, and generally lower rates for sleeping rooms during weekends. The main disadvantage would be more conflicts with AKC events. While all Board members were receptive to trying Monday for Delegate meetings, there was disagreement whether it should be tried for two or four meetings in 2004. A motion by Dr. Garvin, seconded by Ms. Scully, to have all four Delegate meetings on a Monday in 2004 was defeated with the VOTE (affirmative, Dr. Garvin, Ms. Scully, Dr. Mays, Mr. Merriam, Mrs. Schaefer, Mr. Kelly; opposed, Mr. Menaker, Mr. Gladstone, Mrs. Strand, Dr. Davies, Mr. Goodman, Mr. Marden, Dr. Battaglia)
Following a motion by Mr. Gladstone, seconded by Mr. Menaker, it was VOTED (unanimously) to schedule the March and June 2004 Delegate meetings on Monday, after which a decision will be made for 2005. In March and June 2004, the Delegate Committee meetings will be scheduled for Sunday. The September and December meetings in 2004 will be held on the regular Tuesday.
The Executive Secretary, Mr. Crowley, reported on response to the Pan American Canine Exhibition initiative. As of August 1, only six national registries had responded. One had no interest, four were interested and two needed more information before deciding. Following a motion by Mr. Merriam, seconded by Dr. Garvin, it was VOTED (affirmative, Mr. Merriam, Dr. Garvin, Mr. Menaker, Dr. Mays, Mrs. Schaefer, Ms. Scully, Mrs. Strand, Mr. Marden, Mr. Goodman, Mr. Kelly, Dr. Davies, Mr. Gladstone; opposed, Dr. Battaglia) to not proceed at this time because of insufficient interest.

There was a report on the actions taken by the AKC staff during the month of July 2002 on the cancellation of litters and individual registrations.
During the month of July, the registrations of 27 litters were cancelled: 3 because of impure breeding and 24 as a result of the Compliance Audit Program-DNA..
The cancellation of the 27 litters resulted in the cancellation of 38 registered dogs and rendered 85 dogs, members of these litters, ineligible for registration.
The Board considered the handling of dogs registered by innocent third parties, as the result of the circumvention of an AKC suspension. Following a motion by Dr. Battaglia, seconded by Mr. Menaker, it was VOTED (unanimously) to adopt the following policy:

Effective January 1, 2002, innocent third parties who purchase dogs from individuals who have acquired registration by circumventing their suspension will not have the registration of their dogs/litters cancelled if the parentage of their dogs is not in question.
The Board considered the penalties assessed for refusal to produce dogs and records. It was agreed that there was a need to make them consistent with the penalties assessed for failing an inspection. Following a motion by Mr. Gladstone, seconded by Mrs. Strand, it was VOTED (unanimously) to amend the penalty for refusing to produce dogs or records to:

The following actions taken by the AKC Management Disciplinary Committee were reported:
Karen Zydner (Corralitos, CA) was suspended by the Monterey Bay Dog Training Club, Inc. for conduct at its event on June 16, 2002. Specifically, Ms. Zydner was charged with failure to control a dog at an event. The AKC Management Disciplinary Committee acted to suspend Ms. Zydner of all event privileges for a period of three months, effective June 16, 2002, and imposed a $500 fine.

The Board considered a modification of the policies governing exhibiting by
AKC employees. Following a motion by Mr. Marden, seconded by Dr. Davies, it
was VOTED (unanimously) to adopt the following policy:
Employees and members of their household are permitted to compete at AKC events under the following conditions:
1. Dogs housed with and owned by an employee or co-owned with a household member may be shown by either the employee or the household member. Dogs co-owned by persons other than household members are not eligible to be shown.
2. Field staff in Conformation, Companion Events and Performance Events; employees below the CMC level who are involved in the judging application process; and household members of any of these groups, may exhibit at events other than those within the employee's area of responsibility in the sport. However, exhibiting may only take place at events in which the employee is not officially assigned.
3. Dogs owned or co-owned by employees or a household member, may be exhibited until such time as they achieve a title or titles, through the highest title listed below in each category:

5. Junior Handlers who live in the same household as an employee may compete in the Junior Showmanship classes, as defined in the AKC Junior Showmanship Regulations. However, exhibiting may only take place at events in which the employee is not officially assigned.
Any questions or concerns regarding this policy should be referred to a member of the Human Resources professional staff.
The Board reviewed the procedure for handling appeals to the cancellation of awards at shows. Following a motion by Mr. Goodman, seconded by Dr. Battaglia, it was VOTED (unanimously) to adopt a policy that allows owners 45 calendar days, from the date of the letter, notifying the owner(s) of the cancellation (disallowment) of an award, to appeal such cancellation. The effective date is October 12, 2002.
The Board considered an amendment to Chapter 11, Section 8-B of the Rules Applying to Dog Shows to provide that when a dog becomes lame at a show, it retains all awards earned prior to that time. Following a motion by Mr. Marden, seconded by Mr. Goodman, it was VOTED (unanimously) to recommend the amendment of Chapter 11, Section 8-B, as follows:
Section 8-B. A dog that is lame in any class may not compete in that class. It is the judge's responsibility to determine whether a dog is lame. The judge shall not obtain the opinion of the show veterinarian. In situations where the judge determines a dog to be lame, the judge shall excuse the dog from the ring and withhold from the dog the awards for that class or competition. The judge shall mark his book "Excused-lame." Dogs so excused will not count as having competed in the class from which it was excused. If the dog has completed previous classes at the event without being excused, it shall count for those classes and keep any awards from those classes.
The above change will be presented for a reading at the September 2002 Delegates meeting for a December 2002 vote, with an effective date of January 1, 2003.
The Board considered proposed amendments to Chapter 11, Sections 4 and 6 of the Rules Applying to Dog Shows concerning what must be included on an entry form and reformatting the sections to make them easier to read. No entry may be accepted unless the Superintendent or Show Secretary, named in the premium list to receive entries, receives such entry:
¨ prior to the closing
date and hour as published in the premium list
¨ and in the case of a limited entry, prior to the time the limit is reached.
All the requirements of the foregoing paragraph and all other specific requirements printed in the premium list must be met before an entry can be considered acceptable.
Section 6. No entry may
be changed or canceled, other than as provided for herein, unless notice of
the change or cancellation is received by the Superintendent or Show Secretary
in writing, named in the premium list to receive entries, prior to the closing
date and hour for entries.
At least one half-hour prior to the scheduled start of any regular judging at
the show, the Superintendent or Show Secretary may:
¨ Make corrections to
either the dog's name or number, never both, provided all other information
on the entry form is correct.
¨ Transfers of a dog from one division of the Puppy Class to another
¨ Transfers of a dog between the Puppy and Twelve-to-Eighteen Month Class
¨ Where applicable, transfers of a dog from one color division to another
¨ Transfers of a dog from one of the regular classes to the Best of Breed
or Variety competition for dogs which according to their owners' records have
completed the requirements for a championship after the closing of entries for
a show but whose championships are unconfirmed
All entry corrections or
transfers must be:
¨ in writing
¨ signed by the owner or owner's agent
Owners are responsible for errors in the entry forms, regardless of who may make such errors.

If an ineligible dog has been entered in any licensed or member dog show, or
if the name of the owner given on the entry form is not that of the person or
persons who actually owned the dog at the time entries closed, or if shown in
a class for which it has not been entered, or if its entry form is deemed invalid
or unacceptable by The American Kennel Club under these rules, all resulting
awards shall be canceled by The American Kennel Club. In computing the championship
points, such ineligible dogs, whether or not they have received awards, shall
be counted as having competed.

If the catalog and/or the judge's book of any show shall by error or mistake
set forth any information contrary to the information which appears on the entry
form of the dog for that show, the Bench Show Committee and/or the Superintendent
of the show, upon request of the owner or handler of said dog prior to the judging,
shall correct the entry in the judge's book and in the marked catalog to be
sent to The American Kennel Club and said dog properly may compete in all classes
and for all prizes for which its entry form discloses it was properly entered.
The above changes will be presented for a reading at the September 2002 Delegates meeting for a December 2002 vote, with an effective date of March 1, 2003.
There was a review of internal
conflicts within the Terriers in Paradise Group Club in Hawaii. It has reached
the point to where there have been two separate elections and two resulting
sets of officers, both claiming to be the legitimate slate. Both factions within
the club claim that the other group is the dissident element. Following a motion
by Ms. Scully, seconded by Dr. Davies, it was VOTED (unanimously ) to withhold
approval for any future AKC events until the club has demonstrated sufficient
stability and cooperation to be able to function as a cohesive unit, to follow
its own Bylaws, as well as AKC rules and policies.
The Board considered an appeal from the Greater Pittsburgh English Springer
Spaniel Club to an AKC staff denial for permission to hold a May 2003 event
208 miles from its area. There was a motion by Ms. Scully, seconded by Mr. Marden,
and it was VOTED (unanimously) to consider the matter at this meeting, waiving
the usual prior notification requirement. It was moved by Mr. Marden, seconded
by Ms. Scully, and VOTED (unanimously) to deny the request.
The Board considered a request from the Clermont County Kennel Club for the holding of three all-breed shows in a calendar year. Following a motion by Mr. Gladstone, seconded by Dr. Davies, it was VOTED (unanimously) to deny the request.
The Board considered the interpretation of Chapter 2, Sections 3, 5 and 6, which referred to giving a member all-breed club sole jurisdiction in a specified show territory, as long as it holds a show at least once in every two consecutive calendar years. This exclusively was first incorporated into the rules in 1912, when clubs were only approved to hold events within their specified show territory. There was discussion on whether it was reasonable for a club to be given exclusive use of a territory for the holding of shows, when it did not in fact hold its own shows in that territory. Following a motion by Dr. Garvin, seconded by Mr. Gladstone, it was VOTED (unanimously) that, effective January 1, 2004, the Board would interpret Chapter 2, Section 3, 5 and 6, to require a member club to hold a show at least once in every two consecutive calendar years to maintain the sole show privilege in that territory.
The Board was advised that management planned to recruit a consultant to help develop regulations and policies for a proposed Working Dog Sport.
The Events and Clubs Committee also discussed the Working Dog Sport concept.
Mr. Merriam gave the report of the Business Committee.
The Board considered the investment of AKC Operating and Reserve funds. Following a motion by Mr. Merriam, seconded by Dr. Battaglia, it was VOTED (unanimously) to place the responsibility for selecting and initiating suitable investments of the operating and reserve funds with the Chief Financial Officer, with the concurrence of the Chief Executive Officer and the General Counsel. The committee had reviewed the proposed asset allocation.
The Business Committee also discussed possible future sources of revenue.

Meeting reconvened Tuesday, August 13, 2002 at 8:10 a.m. All Directors were
present as were the Chief Operating Officer and Executive Secretary.
Dr. Battaglia gave the report for the Operations and Planning Committee.
The committee considered preliminary Delegate Parent Clubs Committee input on breed-specific stud book issues, kennel names, import pedigrees, and arbitration on disputes involving exhibitors, and the addition of the Kennel Club of Greece to the list of registries with pedigrees acceptable for AKC registration.
Mrs. Strand gave the Public Relations and Public Affairs Committee report. The committee discussed the Communications Department staffing, the AKC Image Campaign, PR programs, DOGNY, and Public Education and legislative initiatives, and the Breeder of the Year award.
The Board considered a request for reconsideration from the Chicago Goldcoast Kennel Club to a Board denial of permission to hold an event at a site within the area of the Park Shore Kennel Club without the Park Shore Kennel Club's permission. It was based in part on the fact that the Park Shore Kennel Club has not held a show within that area for more than two years. Following a motion by Mr. Merriam, seconded by Mr. Goodman, it was VOTED (affirmative, Mr. Merriam, Mr. Goodman, Mrs. Strand, Dr. Battaglia, Dr. Garvin, Mr. Menaker, Mr. Kelly, Dr. Davies, Ms. Scully, Dr. Mays, Mr. Marden; opposed, Mr. Gladstone, Mrs. Schaefer) to deny the request.
The Board considered the advertising of the Kennel Club of Philadelphia's November 16, 2002 show, which is to be televised on Thanksgiving, as "The National Dog Show presented by Purina." Mrs. Schaefer and Mr. Marden left the meeting during this discussion. The Board expressed grave concern about the renaming of the event without AKC permission. The Kennel Club of Philadelphia has given assurance that the correct name of the approved show-giving club will appear wherever reference is made to the National Dog Show.
There was a workshop to discuss the work of the High Volume Breeders Committee, judging contracts, AKC cruelty convictions and a proposed new quarterly magazine.
Upon return to regular session, it was reported that during the workshop there had been a motion by Mr. Gladstone, seconded by Mr. Menaker, and it was VOTED (affirmative, Mr. Gladstone, Mr. Menaker, Dr. Garvin, Dr. Battaglia, Dr. Davies, Mr. Marden, Mr. Goodman, Mr. Merriam, Mr. Kelly, Mrs. Schaefer, Ms. Scully, Mrs. Strand; opposed, Dr. Mays) to direct staff to look into and to prepare a report and proposal for the enforcement of Chapter 7, Section 7 of the Rules Applying to Dog Shows, concerning judging contracts and to report back to the Board with recommendations by the October 2002 Board meeting. It was also reported that the Board had agreed that when there was a change in the judging approval system, applications received during the transition period would be processed under the system most favorable to the applicant.
It was also reported out of the workshop that it was the sense of the Board that staff should proceed with the development of a quarterly magazine directed at the purebred dog pet owner, which would provide practical information, brand AKC as the official authority on dogs, build awareness of the Sport, be a vehicle for marketing AKC goods and services, and reinforce the positive aspects of purebred dog ownership.
By November, staff was also directed to prepare reports with recommendations on AKC's current cruelty conviction policy and on how AKC should handle registration irregularities that come to its attention as the result of outside genetic research.
